1. Definitions

In these Terms and Conditions, the following words have the meanings set out below:

• "Agreement" — these Terms and Conditions together with any engagement letter, proposal or service confirmation exchanged between the parties.
• "We / Us / Our" — Khwan Works, operating from 96 Sathorn Road, Thung Maha Mek, Bangkok 10120, Thailand.
• "You / User" — any individual or organisation that visits this website or engages our services.
• "Service" — any advisory, integration or ongoing support offering provided by Khwan Works, including the Listening Session, Settled Integration, and Steady Companionship programmes.
• "Content" — all text, documents, reports, summaries and materials produced or shared in connection with a Service.
• "Client" — a User who has entered into a paid engagement with us.

2. Acceptance of Terms

By visiting this website or requesting a Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation.

Our Services are intended for professional and business use. By engaging us, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under Thai law.

If you do not agree with any part of these terms, we kindly ask that you refrain from using this website or engaging our services, and contact us to discuss your concerns directly.

3. Service Description

Khwan Works provides AI integration advisory services to businesses in Thailand. Our three current offerings are:

Services are available to businesses based in Thailand. We may discuss engagements with organisations outside Thailand on a case-by-case basis.

4. User Responsibilities

You agree to use this website and our Services in a lawful, considerate manner. In particular, you agree not to:

• Provide false, misleading or incomplete information when requesting a Service or submitting a contact form.
• Use this website in any way that may interfere with its operation or the experience of other visitors.
• Attempt to access systems, data or accounts belonging to Khwan Works or its clients without authorisation.
• Reproduce, distribute or commercially exploit any Content created by Khwan Works without our written permission.
• Use our Services for any purpose that is unlawful under Thai law or the laws of your own jurisdiction.
• Share confidential information received during a Service engagement with third parties without our agreement.

We ask that you also support your team's participation in any integration work — open communication between your staff and our team makes the process more comfortable and effective for everyone.

5. Intellectual Property

All materials on this website — including text, layout, visual design, and brand elements — are the property of Khwan Works and are protected under applicable intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable licence to access this website for the purpose of considering or using our Services. This licence does not permit reproduction, redistribution, or commercial use of any website content.

Reports, summaries, and written materials we produce specifically for your engagement are shared with you for your internal business use. Ownership of such materials is agreed in the relevant service confirmation.

Any materials, data or content you share with us in the course of a Service remain your property. You grant us a limited licence to use them solely for the purpose of delivering the agreed Service.

6. Payment Terms

All prices are quoted in Thai Baht (฿) and are inclusive of applicable taxes unless otherwise stated in a service confirmation. Payment terms are as follows:

• Listening Session: Full payment is due before the session takes place.
• Settled Integration: A deposit of 50% is due at the start of the engagement, with the remainder due upon handover.
• Steady Companionship: Monthly invoices are issued at the beginning of each support period and are due within 14 days.

Payments may be made by bank transfer to our designated account details, which will be provided in your invoice. We do not currently accept card payments directly through this website.

If you wish to discuss a refund or are not satisfied with a Service, we encourage you to reach out to us at [email protected]. We will do our best to address your concerns fairly and without undue formality.

7. Service-Specific Terms

The following additional terms apply to each of our Services:

Listening Session

• The session is attended by one team or business unit. Additional sessions for separate teams may be booked separately.
• A written summary is delivered within five working days of the session.
• The session creates no obligation to proceed with any further engagement.

Settled Integration

• The scope of the integration is agreed in writing before work begins.
• Any changes to the agreed scope requested during the engagement will be discussed and may affect the timeline or price.
• We commit to a relaxed and considerate handover process. Your team's comfort with the new tool is part of the deliverable.
• The timeline of four to five weeks is an estimate and may vary based on the complexity of your workflow and your team's availability.

Steady Companionship

• This is a rolling monthly arrangement. Either party may end the arrangement by giving 30 days' written notice.
• Monthly summaries are provided within the first week of the following month.
• Extensions to other workflows are discussed with your agreement and are not assumed.

8. Disclaimers

This website and the information contained within it are provided in good faith for general informational purposes. While we take care to keep content accurate, we make no representation that it is complete, current or free from error.

Our Services are provided as advisory and implementation support. We do not offer legal, financial or regulated professional advice. Outcomes from any AI integration depend on a range of factors — including your existing systems, your team, and the nature of your workflows — and we make no claim about specific results.

Links to third-party resources on this website are provided as a courtesy. We have no control over those resources and accept no responsibility for their content or availability.

9. Limitation of Liability

To the extent permitted by Thai law, Khwan Works shall not be liable for any indirect, consequential, incidental or special loss arising from the use of this website or our Services, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Our total liability to a Client for any claim arising from a Service engagement shall not exceed the amount paid by that Client for the Service in question.

Nothing in these terms limits liability for fraud, death or personal injury caused by our negligence, or any other liability that cannot be limited by law.

10. Indemnification

You agree to hold Khwan Works harmless from any claim, loss, damage or expense (including reasonable legal costs) arising from your breach of this Agreement, your misuse of our Services, or your violation of any applicable law.

This indemnification applies to claims brought by third parties as a result of your actions in connection with our Services or this website.

11. Termination

Either party may end a service engagement by giving written notice as described in the relevant service confirmation or, where no period is specified, with 30 days' written notice.

We reserve the right to suspend or end an engagement immediately if there is a material breach of this Agreement, or if continuing the engagement would place us or our other clients at risk.

Upon termination, any confidentiality and intellectual property provisions of this Agreement will continue to apply. Fees for work completed up to the date of termination remain due.

12. Dispute Resolution

This Agreement is governed by the laws of the Kingdom of Thailand. Any dispute arising from or relating to this Agreement shall be subject to the jurisdiction of the courts of Bangkok, Thailand.

Before commencing formal proceedings, we ask that both parties make a genuine effort to resolve any dispute through direct discussion. Please contact us at [email protected] and we will respond within five working days.

If direct resolution is not reached, either party may refer the matter to mediation before the Thai Arbitration Institute, or pursue resolution through the courts as appropriate.

13. General Provisions

• Entire Agreement. These Terms, together with any service confirmation, form the entire agreement between us regarding the subject matter described.
• Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full effect.
• Waiver. Failure to enforce any provision of this Agreement does not constitute a waiver of that provision.
• Assignment. You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights to a successor entity without notice.
• Notices. Formal notices under this Agreement should be sent in writing to our address at 96 Sathorn Road, Thung Maha Mek, Bangkok 10120, or by email to [email protected].

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services or applicable law. When we do, we will update the "Last updated" date at the top of this page.

For active Clients under a Steady Companionship arrangement, we will notify you of any material changes by email at least 14 days before they take effect.

Continued use of this website or our Services after changes become effective constitutes acceptance of the revised Terms.
